1. Acceptance of Terms

By accessing and using PointA2B ("the Platform", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, you must not use our service.

2. Description of Service

PointA2B is a peer-to-peer marketplace platform that connects users for ridesharing, package delivery, and freight services. We are a technology platform only and do not provide transportation, delivery, or freight services. We do not employ, recommend, or endorse any users of the platform, and we are not responsible for the conduct of any user.

3. User Accounts and Registration

To use certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate, current, and complete
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access or use of your account
• Accept responsibility for all activities that occur under your account
• Be at least 18 years of age to use the Platform

4. User Conduct and Responsibilities

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Post false, misleading, or fraudulent listings
• Harass, abuse, or harm other users
• Violate any applicable local, provincial, federal, or international law
• Use the Platform for any illegal or unauthorized purpose
• Transmit any viruses, malware, or harmful code
• Interfere with or disrupt the Platform or servers
• Impersonate any person or entity
• Collect or store personal data about other users without permission
• Use automated systems to access the Platform without authorization

5. Listings and Transactions

When you post a listing on the Platform, you represent and warrant that:

• You have the legal right and capacity to offer the service described
• All information in your listing is accurate and complete
• You will fulfill the obligations stated in your listing
• Your listing complies with all applicable laws and regulations

All transactions are between users. PointA2B is not a party to any agreement between users and does not guarantee the performance of any user. We are not responsible for the quality, safety, or legality of services provided by users.

6. Payment and Fees

Currently, PointA2B does not process payments through the Platform. All payment arrangements are made directly between users. Users are solely responsible for:

• Negotiating payment terms
• Processing payments
• Resolving payment disputes
• Complying with applicable tax obligations

PointA2B reserves the right to introduce payment processing features in the future, at which time additional terms will apply.

7. Safety and Security

Your safety is important to us, but you are solely responsible for your safety and security when using the Platform. You agree to:

• Verify the identity of other users before meeting or transacting
• Meet in public places when possible
• Trust your instincts and avoid situations that feel unsafe
• Comply with all traffic laws and regulations when providing transportation services
• Maintain appropriate insurance coverage as required by law
• Report any suspicious or illegal activity to appropriate authorities

8. Insurance and Liability

Users are responsible for obtaining and maintaining appropriate insurance coverage for their activities on the Platform. PointA2B does not provide insurance coverage for users. You agree that:

• You are solely responsible for any damages, losses, or injuries that occur during your use of the Platform
• You will maintain appropriate insurance coverage as required by applicable law
• PointA2B is not liable for any damages arising from transactions between users

9. Intellectual Property

The Platform and its original content, features, and functionality are owned by PointA2B and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without our express written permission.

10. Disclaimers and Limitations of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, PointA2B disclaims all warranties, express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or availability of the Platform

TO THE FULLEST EXTENT PERMITTED BY LAW, POINTA2B SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE PLATFORM.

11. Indemnification

You agree to defend, indemnify, and hold harmless PointA2B, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal fees, arising out of or in any way connected with:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party right
• Any content you submit or transmit through the Platform

12. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Platform after any changes constitutes acceptance of the new Terms.

These Terms constitute the entire agreement between you and PointA2B regarding the use of the Platform and supersede all prior agreements and understandings.
